Gujarat High Court stays RoC notices to Lilavati Foundation over ex-Mumbai police chief Param Bir Singh’s fund diversion complaint; next hearing Oct 29.

Ahmedabad: Gujarat High Court has stayed two notices issued by the Registrar of Companies (RoC) to Lilavati Foundation over complaints filed by former Mumbai police commissioner Param Bir Singh.Lilavati Foundation, a company operating a hospital in GIFT City through Lilavati Medicare Pvt Ltd, had approached the high court challenging the notices. Singh had named around 16 companies using the Lilavati name and alleged that they were being used as conduits to route funds by promoter Prashant Mehta.The RoC had directed the company to address Singh’s grievances within 15 days, warning that failure to do so would be viewed seriously.Appearing for the company, senior advocates Saurabh Soparkar and Arjun Sheth, argued that the notices did not cite any statutory provision, record the RoC’s satisfaction or specify allegations against the companies. They also submitted that the RoC had not sought any information from the company before issuing the notices. They argued that the law does not empower RoC to direct a company to resolve a third party’s grievance.The lawyers also submitted that Singh has been engaged in a sustained campaign against Lilavati Kiritlal Mehta Medical Trust and its promoters. Bombay High Court has restrained Singh from making allegations of siphoning of funds against Mehta.It was contended that the RoC has failed to distinguish between a private dispute and a statutory non-compliance. “By directing the foundation to redress the grievance of a stranger, RoC has converted a statutory office into a conduit for the complainant’s private campaign, which is wholly foreign to the scheme of Companies Act,” the petitioners submitted.After the preliminary hearing, Justice Nisha Thakore stated, “Prima facie,looking to the past incident between the parties, despite the fact that the petitioner is neither the shareholder nor director of the company, his complaint has been entertained by issuing impugned notice dated Sept 21, 2026, by the Registrar of Companies.
