MUMBAI: Tata Motors’3.9 billion (Rs 42,561 crore) acquisition of Italian commercial vehicle maker Iveco has cleared a key acceptance threshold, paving the way for the Indian group to take full ownership of the company and delist it within months. The offer secured acceptances representing 87.8% of Iveco’s shares by the close of the tender period on Monday, comfortably exceeding the 80% threshold required to trigger a pre-arranged Dutch statutory squeeze-out mechanism. The transaction is the largest deal under Tata Group chairman N Chandrasekaran. Acceptances had stood at 35% as of Oct 22. Having crossed the 80% threshold, Tata Motors can now move to acquire the remaining shares and take Iveco private, with the delisting expected to be completed within one to two months. The offer for Iveco shareholders opened on Sept 4 and closed on Monday. Tata Motors increased its offer price on Oct 9 to 14.40 a share from 14.10, raising the maximum value of the transaction to 3.91 billion. The company had originally announced the acquisition of Iveco’s commercial vehicle business on July 30, 2025, in a deal valued at 3.8 billion (Rs 41,363 crore).A decisive step came on Oct 16, when Iveco shareholders approved a “back-end resolution” at an extraordinary general meeting, reducing the acceptance threshold required for the squeeze-out process from 95% to 80%.You use AI every day.
