Algonquin Power & Utilities Corp. (NYSE: AQN ) agreed to sell its approximately 64% interest in Chilean water utility Suralis S.A. to a fund managed by Toesca S.A. Administradora General de Fondos. The transaction is expected to generate $126.5 million in proceeds, plus an earnout opportunity of up to $1.5 million. Both amounts are denominated in U.S. dollars. Toesca already owns approximately 30% of Suralis.

The agreement advances a strategic reset built around a simpler regulated utility portfolio. Algonquin Power & Utilities Corp. (NYSE:AQN) expects to use the proceeds for debt reduction and capital recycling into its $3.2 billion regulated capital plan for 2026 through 2028. The transaction is expected to close within the next two quarters, subject to customary conditions, including merger-control approval.

The logic is straightforward. Capital tied to a Chilean water business can support core regulated utility infrastructure spending. However, the base proceeds represent just under 4% of the three-year capital plan. The transaction supports the strategy but cannot materially reshape leverage.

The strongest argument for the sale is improved focus. Exiting Suralis reduces exposure to a separate regulatory regime and currency while concentrating resources on regulated utility operations closer to the center of the portfolio. A narrower footprint should make capital allocation easier and reduce organizational complexity.

Debt paydown also has tangible value. Lower borrowings can reduce interest costs and preserve financing capacity as Algonquin Power & Utilities Corp. (NYSE:AQN) executes its capital plan. Reinvesting sale proceeds into regulated infrastructure could support rate-base growth and more predictable earnings if approved returns exceed the cost of funding.

The disposal also removes an established regulated water business serving communities in Chile's Los Lagos and Los Rios regions. That means surrendering earnings and geographic diversification.
