Ballard Power Systems Inc. (NASDAQ: BLDP ) completed its acquisition of GeoPura Limited on August 28, 2026. The £275 million of upfront consideration comprised £82.5 million in cash, 49.6 million newly issued shares, and restricted share units that will settle into another 1.1 million shares. Former GeoPura Limited shareholders now hold approximately 14.1% of Ballard Power Systems Inc. (NASDAQ:BLDP) on a pro forma basis.

The £301.1 million enterprise value, or about $400 million, includes the assumption of 50% of the debt associated with the HyMarnham joint venture. It excludes up to £27.5 million of contingent consideration. The central question is whether GeoPura Limited's recurring Energy-as-a-Service model can produce enough growth and margin expansion to justify the valuation and new shareholders' stake.

GeoPura Limited develops, leases, and sells Hydrogen Power Units while producing and delivering the hydrogen that runs them. Combining those capabilities with the fuel-cell technology of Ballard Power Systems Inc. (NASDAQ:BLDP) creates an end-to-end offering spanning hydrogen production, logistics, refueling, fuel cells and stationary power generation.

In addition to component sales, Ballard Power Systems Inc. (NASDAQ:BLDP) can earn recurring leasing and hydrogen-supply revenue. GeoPura Limited also brings customer relationships across construction, data centers, media, infrastructure and government, giving the combined business direct access to large power users.

Revenue visibility is another attraction. GeoPura Limited owns 50% of HyMarnham Power, which secured a UK government agreement providing 15 years of hydrogen-production revenue support. Management identified approximately $25 million of annual run-rate EBITDA synergies from revenue expansion and cost optimization. EBITDA, or earnings before interest, taxes, depreciation and amortization, is a non-GAAP measure. Ballard Power Systems Inc. (NASDAQ:BLDP) ended the second quarter with $502.1 million of cash and cash equivalents, before paying the acquisition's £82.5 million cash component.

The valuation sets a demanding hurdle. The £301.1 million enterprise value is approximately 7.9 times GeoPura Limited's projected 2026 revenue of £38 million, before any contingent payment. A revenue shortfall would push the multiple higher.

Recurring revenue does not automatically produce attractive returns. Hydrogen production, storage and distribution remain capital-intensive, while utilization, electricity costs and policy support affect project economics. Ballard Power Systems Inc. (NASDAQ:BLDP) must integrate fuel-cell engineering, power-unit manufacturing, hydrogen production and fleet logistics while controlling cash consumption.
